Terms of Service

These Terms of Service ("Terms") govern your access to and use of the letshangout.co website, mobile application, and all related services (collectively, the "Platform") operated by Lumina Labs ("Company", "we", "us", or "our"), a company incorporated under the laws of India.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that:

  • You are at least 18 years old and possess the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872;
  • You have not been previously suspended or removed from the Platform;
  • Your use of the Platform does not violate any applicable law or regulation.

2. Account Registration

To use certain features, you must register an account by providing a valid phone number. You agree to:

  • Provide accurate, current, and complete information;
  • Maintain the confidentiality of your account credentials;
  • Accept responsibility for all activities under your account;
  • Not create more than one account or transfer your account to any third party.

2A. Waitlist

Before the Platform opens in your area, you may join a waitlist. Joining the waitlist:

  • Does not guarantee access to the Platform, a launch in your area, or any launch date;
  • Does not create any account, membership or other right. Any position number shown to you is indicative only and may change;
  • Is subject to these Terms and our Privacy Policy, including the updates and invitations described there, which you can stop at any time.

We may decline, remove or defer any waitlist entry, change how access is granted, or close the waitlist at any time, at our discretion.

3. Nature of the Platform

The Platform is a venue, not a participant. We provide a technology platform that enables users to post and discover plans for in-person activities ("Plans"). We do not organise, host, supervise, control, or attend any Plan or meetup. We are not a party to any interaction, agreement, or arrangement between users.

We do not guarantee the identity, background, intentions, behaviour, or character of any user. We do not conduct criminal background checks, identity verification beyond the methods described in our verification features, or in-person vetting of any user or venue.

4. Assumption of Risk

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE PLATFORM AND PARTICIPATION IN ANY PLAN OR MEETUP IS ENTIRELY AT YOUR OWN RISK.

The Platform connects people who may not know each other for the purpose of meeting in person. By using the Platform, you acknowledge that:

  • There are inherent risks in meeting people you do not know, including but not limited to risks of bodily injury, emotional distress, property damage, theft, harassment, assault, or other harm;
  • You voluntarily assume all such risks, whether foreseeable or unforeseeable;
  • The Company is not responsible for the acts, omissions, conduct, or behaviour of any user, whether online or offline;
  • The Company does not guarantee the safety of any venue, location, or Plan;
  • You are solely responsible for your own safety and for taking appropriate precautions, including but not limited to meeting in public places, informing a trusted person of your plans, and exercising sound judgment;
  • Some Plans involve physical activity (for example treks, sports or long walks) that carries its own risk of injury. You are responsible for judging whether an activity is suitable for your health, fitness and experience.

The Platform is not an emergency service. If you are in danger, contact the police or emergency services immediately (dial 112 in India) before contacting us.

5. User Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law;
  • Harass, threaten, stalk, intimidate, or abuse any user;
  • Impersonate any person or entity or misrepresent your identity, age, gender, or affiliation;
  • Post false, misleading, defamatory, obscene, or inappropriate content;
  • Use the Platform to solicit money, promote commercial services, or spam;
  • Attempt to gain unauthorized access to the Platform or other users' accounts;
  • Use automated means (bots, scrapers, crawlers) to access the Platform;
  • Use the Platform as a dating or matrimonial service;
  • Host or attend Plans that involve illegal activities, substances, or unsafe conditions;
  • Discriminate against any user based on race, religion, caste, gender, sexual orientation, disability, or any protected characteristic, except for gender-specific Plans as permitted by the Platform.

6. Plan Hosts

If you create a Plan ("Host"), you are solely responsible for:

  • The accuracy of all Plan details including venue, time, and description;
  • The safety and legality of the Plan and chosen venue;
  • Ensuring the Plan does not violate any applicable law, regulation, or these Terms;
  • Any consequences arising from the Plan, including injury, damage, or disputes.

The Company does not endorse, verify, or guarantee any Plan or venue.

7. Verification & Ratings

The Platform offers optional verification features (phone verification, social profile connection, ID verification) and a user rating system. These features are provided as trust signals only and:

  • Do not constitute a guarantee of identity, character, or trustworthiness;
  • Do not represent endorsement by the Company;
  • Should not be relied upon as the sole basis for deciding to meet another user;
  • May be inaccurate, incomplete, or fraudulent despite our reasonable efforts.

Gender and age are self-declared. Features that limit a Plan by gender (such as women-only Plans) rely on the gender users state about themselves. We do not verify any user's gender or age, and cannot guarantee that everyone who joins such a Plan meets its criteria.

8. Content

You retain ownership of content you post on the Platform. By posting content, you grant the Company a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purposes of operating, promoting, and improving the Platform.

We reserve the right to remove any content that violates these Terms, without prior notice. We are not obligated to monitor user content but may do so at our discretion.

8A. Images and Illustrations

Photographs and images on our website, social media and other marketing may be illustrations, including images created or edited with artificial intelligence. Unless we say otherwise, the people shown are not members of the Platform, and the plans shown are examples, not real listings.

8B. Our Intellectual Property and Feedback

The Platform, including its name, logo, design, software and content we create, belongs to the Company. You may not copy, modify, distribute or create derivative works from it without our written permission. If you send us feedback or suggestions, we may use them freely without any obligation to you.

8C. Third Parties and Venues

Plans take place at venues, and the Platform may link to or rely on services (such as WhatsApp, maps or payment providers) that we do not own or control. We are not responsible for any venue, business or third-party service, including their safety, availability, pricing, content or practices. Your dealings with them are solely between you and them.

9. Reporting & Safety

If you experience or witness any behaviour that violates these Terms, is illegal, or makes you feel unsafe, you should:

  • Use the in-app reporting feature to report the user or Plan;
  • Contact local law enforcement if you are in immediate danger;
  • Contact us at legal@letshangout.co.

We may take action including content removal, account suspension, or permanent ban at our sole discretion. We may also cooperate with law enforcement authorities as required by law.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted, secure, or error-free;
  • Any information provided by users is accurate, reliable, or complete;
  • The quality of any Plans, venues, or user interactions will meet your expectations;
  • Any defects in the Platform will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE INFORMATION TECHNOLOGY ACT, 2000 AND THE CONSUMER PROTECTION ACT, 2019:

  • THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BODILY INJURY, EMOTIONAL DISTRESS, OR OTHER INTANGIBLE LOSSES;
  • THE COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM OR RELATED TO YOUR INTERACTIONS WITH OTHER USERS, WHETHER ONLINE OR OFFLINE, INCLUDING BUT NOT LIMITED TO ANY HARM SUFFERED AT OR IN CONNECTION WITH ANY PLAN OR MEETUP;
  • IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF ₹5,000 (INDIAN RUPEES FIVE THOUSAND) OR THE AMOUNT PAID BY YOU TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM.

This limitation of liability shall not apply to liability arising from gross negligence, wilful misconduct, or fraud by the Company, or any liability that cannot be excluded or limited under applicable Indian law.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your violation of these Terms;
  • Your use of the Platform;
  • Your content or conduct;
  • Any Plan you host or attend;
  • Your interactions with other users, whether online or offline;
  • Any violation of applicable law or third-party rights.

13. Termination

We may suspend or terminate your account at any time, with or without cause and with or without notice, if we believe you have violated these Terms or pose a risk to the safety of other users. Upon termination, your right to use the Platform ceases immediately.

13A. Changes to the Platform

We may change, suspend or discontinue any part of the Platform, including features, availability in any area, or the entire service, at any time and without liability to you.

13B. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, epidemics, government action, network or hosting outages, strikes, riots or acts of war or terrorism.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or email. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at legal@letshangout.co and try to resolve the dispute in good faith for at least 30 days.

Arbitration. Any dispute not resolved informally shall be referred to arbitration by a sole arbitrator appointed by mutual agreement of the parties, or failing agreement, in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, and the proceedings shall be in English. This does not limit any right you have under the Consumer Protection Act, 2019 or any other law that cannot be waived by agreement.

16. Intermediary Status

The Company operates as an intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000 and claims exemption from liability under Section 79 of the said Act, subject to compliance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 as amended from time to time.

17. Grievance Officer

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Grievance Officer for the Platform is:

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. General

  • Entire agreement: These Terms and our Privacy Policy are the entire agreement between you and the Company about the Platform;
  • No waiver: If we do not enforce a provision, that is not a waiver of our right to enforce it later;
  • Assignment: You may not transfer your rights under these Terms. We may assign ours, including to a successor in a merger, acquisition or sale of assets;
  • Survival: Sections 4, 8, 10, 11, 12 and 15 survive any termination of these Terms.
